The company requires additional time to prepare the financial statements and complete the audit process, resulting in a delay that is expected to extend until June 30, 2026.
The BAR is required under National Instrument 51-102 – Continuous Disclosure Obligations (NI 51-102) and must be filed within 75 days of the acquisition. Uniserve's acquisition of Megawire's business was previously announced on December 23, 2025. The company stated that Megawire, along with other entities involved in the transaction—Brimax Financial Services Inc. and Waterloo Wireless Inc.—are private companies that have not previously prepared or filed audited financial statements, necessitating additional time for the audit process.
Uniserve has imposed a management trading blackout until the required filings are made. The company confirmed that it is current in all other continuous disclosure filings and will provide updates as required under applicable securities laws. Despite the delay, Uniserve expressed satisfaction with the completion of the Megawire acquisition, which it believes will expand its capabilities and geographic reach in delivering managed IT, connectivity, and digital infrastructure solutions across Canada.
