Trilogy Metals Inc. (NYSE American: TMQ) (TSX: TMQ) has executed definitive agreements with the U.S. Department of War for a strategic equity investment of approximately $35.6 million to advance exploration and development of the Upper Kobuk Mineral Projects (UKMP) in northwestern Alaska. The investment will be split, with about $17.8 million going directly to Trilogy Metals and the remainder through a transaction with joint venture partner South32 Limited (ASX, LSE, JSE: S32; ADR: SOUHY). Proceeds are committed to the projects, and upon completion, the Department is expected to hold approximately 10% of Trilogy Metals on a non-diluted basis. The transaction is expected to close in September 2026, subject to customary closing conditions.
This investment marks a significant endorsement of the UKMP, a copper-dominant district that is considered one of the most prospective in the world. The projects are located in the Ambler Mining District, which hosts polymetallic volcanogenic massive sulfide (VMS) deposits containing copper, zinc, lead, gold, and silver, as well as carbonate replacement deposits with high-grade copper and cobalt mineralization. Trilogy Metals holds a 50% interest in Ambler Metals LLC, which owns 100% of the UKMP, with the other 50% held by South32. The joint venture was formed in December 2019.
The U.S. government's investment underscores the strategic importance of securing domestic supplies of critical minerals like copper, which are essential for national security and the transition to clean energy. By backing the development of these Alaskan projects, the government aims to reduce reliance on foreign sources and strengthen the domestic supply chain. The investment also provides a substantial financial boost to Trilogy Metals, enabling it to accelerate exploration and feasibility work at the Arctic VMS deposit and the Bornite carbonate replacement deposit.
Trilogy Metals' vision is to develop the Ambler Mining District into a premier North American copper producer while protecting and respecting subsistence livelihoods. The company has an agreement with NANA Regional Corporation, Inc., an Alaska Native Corporation, which provides a framework for exploration and potential development in cooperation with local communities. The land package spans approximately 190,929 hectares.
The announcement comes at a time when global demand for copper is surging due to its use in electric vehicles, renewable energy systems, and infrastructure. The UKMP holds the potential to significantly contribute to U.S. copper production, thereby enhancing energy security and economic resilience. The investment also de-risks the project's early-stage development, providing a clear pathway toward a potential mine that could operate for decades.
