MAX Power Secures $10 Million Strategic Investment from Eric Sprott to Advance Natural Hydrogen Exploration

MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has announced a strategic non-brokered private placement with renowned investor Eric Sprott, securing gross proceeds of $10 million. The financing involves the issuance of 4 million units at a price of $2.50 each, subscribed by 2176423 Ontario Ltd., a corporation beneficially owned by Sprott. Each unit comprises one common share and one warrant exercisable at $3.25 for a period of 24 months. The closing is anticipated on or about Aug. 17, 2026, subject to customary conditions, including approval from the Canadian Securities Exchange.

The investment is a significant endorsement of MAX Power's exploration strategy, particularly its focus on Natural Hydrogen. The company intends to allocate the net proceeds to further its ongoing commercial validation drill program at the Lawson Complex in Saskatchewan, as well as for general corporate purposes. Following the financing, Sprott is expected to beneficially own or control approximately 19.5% of MAX Power's outstanding common shares on a non-diluted basis, and approximately 30.5% on a partially diluted basis, assuming exercise of all warrants he holds. Sprott has agreed not to exercise warrants that would increase his holdings above 19.9% unless shareholders approve his status as a control person at a special meeting on Aug. 20 and all required regulatory approvals are obtained.

This investment carries substantial implications for MAX Power and the broader Natural Hydrogen sector. It provides the company with substantial capital to advance its pioneering exploration work. The Lawson Discovery near Central Butte, Saskatchewan, represents Canada's first-ever subsurface Natural Hydrogen system confirmed through deep drilling, with data validated by three independent labs. MAX Power has built dominant district-scale land positions across Saskatchewan, with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen. This positions the company at the forefront of a potentially transformative energy source.

Natural Hydrogen, also known as white or gold hydrogen, is generated naturally in the earth's crust and could offer a low-carbon energy solution. The validation of such systems is critical to assessing its commercial viability. The funding from Sprott, a well-known and successful investor in the resource sector, lends credibility and financial strength to MAX Power's efforts. It also signals confidence in the potential of Natural Hydrogen as a future energy resource.

In addition to its Natural Hydrogen projects, MAX Power holds a portfolio of properties in the United States and Canada focused on critical minerals, highlighted by a 2024 diamond drilling discovery at the Willcox Playa Lithium Project in southeast Arizona, which is 100%-owned by MAX Power's U.S. subsidiary. The company is committed to responsible exploration and development practices that prioritize environmental stewardship, meaningful community engagement, and strong corporate governance.

The announcement comes at a time when interest in clean energy alternatives is surging, and Natural Hydrogen is emerging as a potential game-changer. The successful execution of this financing and the subsequent drill program could significantly advance the understanding and development of Natural Hydrogen resources, not only in Canada but globally.
