Ideal Group Acquires Hospitality Development Group in Multi-Asset Deal

Ideal Group of Companies, Inc. (OTC: IDGR) has acquired Hospitality Development Group (HDG) in an all-stock transaction, marking a transformative move that expands IDGR's portfolio into premium real estate, precious metals mining, and innovative technology platforms. The acquisition, announced March 18, 2026, positions IDGR for significant growth and enhanced shareholder value through a diversified asset base designed to provide financial leverage for its expanding operations, including its Oxygen Mortgage subsidiary.

HDG is a Ft. Lauderdale-based real estate development company with a track record of high-profile projects, including the oceanfront W Fort Lauderdale Resort and Residences, The Infinity at Brickell in Miami, and The Europa by the Sea. The transaction includes two strategically positioned real estate projects: the Palazzo del Lago Resort in Orlando, Florida, and the Arden Mills Development in Fitchburg, Massachusetts. Palazzo del Lago is a world-class mixed-use resort featuring 1,552 luxury rooms and suites in its main building and Tower 1 (Phase I), with 800 resort villas in four 18-story towers planned for later phases. The resort, designed in Italian Renaissance style, will include a lakefront setting, water sports, a health spa, multiple restaurants, and conference facilities. It has an agreement with Orange County to be designated as a convention center hotel. The Arden Mills project consists of 156 rental units on a 7-acre site along the Nashua River, with prior permits expected to be fast-tracked.

The acquisition also expands IDGR into natural resources with gold mining and mineral rights concessions in Bolivia, providing exposure to rising gold prices. Additionally, IDGR gains three technology platforms: Virtual HealthMD, a telehealth service offering 24/7 physician access; Virtual PetMD, a veterinary telehealth platform; and Virtual365.app, a decentralized platform for immersive virtual events.
