In consideration for the immediate exercise of the existing warrants, the investor will receive new unregistered warrants to purchase up to 11,395,256 shares of common stock (the "New Warrants"). The New Warrants will have an exercise price of $0.64, become exercisable on the date shareholder approval is obtained for the issuance of shares underlying the New Warrants, and expire five years following that approval date. The transaction is expected to close on or about August 27, 2026, subject to customary closing conditions.
The company intends to use the net proceeds from the offering for working capital and other general corporate purposes. This strategic move provides GeoVax with additional financial flexibility as it advances its pipeline, including its lead program GEO-MVA, a modified vaccinia Ankara (MVA)-based vaccine targeting mpox and smallpox, which is planned to enter a pivotal Phase 3 clinical trial in the second half of 2026. The company is also developing Gedeptin®, a gene-directed enzyme prodrug therapy for solid tumors, which has completed a Phase 1/2 trial in head and neck cancer.
The private placement of the New Warrants and underlying shares will be made in reliance on exemptions from registration under Section 4(a)(2) of the Securities Act of 1933 and Regulation D. As such, the securities may not be offered or sold in the United States absent registration or an applicable exemption.
