G Mining Ventures' Largest Shareholder Exercises Top-Up Right in CAD427 Million Investment

G Mining Ventures Corp. (TSX: GMIN) (OTCQX: GMINF) announced that its largest shareholder, La Mancha Investments S.à r.l., has exercised its top-up right under an investor rights agreement to increase its ownership stake to approximately 19.9%. In connection with the transaction, the company will issue 9,311,745 common shares to La Mancha at CAD45.89 per share for aggregate gross proceeds of about CAD427 million, with closing expected on or about March 11, 2026, subject to customary conditions including Toronto Stock Exchange approval.

The proceeds are intended to reduce reliance on debt related to development of the Oko West Gold Project, increase exploration activities, accelerate debt repayment and support general corporate purposes. This significant capital injection underscores La Mancha's confidence in G Mining Ventures' strategy and the potential of its flagship projects.

G Mining Ventures is a mining company engaged in the development, operation and exploration of precious metal projects, aiming to capitalize on value uplift from successful mine development. The company is well-positioned to grow into the next mid-tier precious metals producer by leveraging strong access to capital and proven development expertise. GMIN is currently anchored in mining-friendly jurisdictions: Brazil, with the Tocantinzinho Gold Mine and the Gurupi Project, as well as Guyana, with the Oko West Project.

The Oko West Gold Project in Guyana is a key growth asset for G Mining Ventures. The project is expected to benefit from the additional funding, which will help reduce debt and accelerate development timelines. The company's focus on reducing debt reliance is particularly important given the capital-intensive nature of mine development.

This investment by La Mancha, a long-term strategic shareholder, signals strong support for G Mining Ventures' management and its project portfolio. The top-up right exercise allows La Mancha to maintain its ownership percentage while providing the company with substantial non-dilutive capital.
