Edgewater Wireless Secures Strategic Investment from Silicon Catalyst Angels

Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing technology, announced the closing of a private placement that includes a direct strategic investment from Silicon Catalyst Angels I, LLC (SCA). The investment, part of the second tranche, brings additional capital and semiconductor expertise as the company advances its Spectrum Slicing and PrismIQ platforms toward prototype validation and commercial engagements.

The financing strengthens Edgewater's strategic investor base. SCA, established in 2019 to provide seed and Series A funding to Silicon Catalyst Portfolio Companies, includes experienced semiconductor executives, technologists, and investors. Their participation follows Edgewater's selection as a Silicon Catalyst Portfolio Company in November 2024, which provided access to over 500 industry experts and several million dollars in in-kind design, fabrication, and commercialization resources.

Andrew Skafel, President and CEO of Edgewater Wireless, noted, "Experienced semiconductor investors understand where value can be created: when differentiated technology moves into visible execution. SCA's direct investment is a validation of our novel approach and strengthens Edgewater's strategic investor base at an important point in our development."

Edgewater Chairman Brian Imrie also increased his investment, reflecting confidence in the company's technology and commercial traction. "The Company has built a strong foundation and is advancing toward milestones that can demonstrate the relevance of Spectrum Slicing across high-reliability Wi-Fi and emerging high-performance applications," Imrie said.

The private placement comprised units priced at $0.06, with each unit consisting of one common share and one warrant exercisable at $0.09 for two years. The second tranche raised gross proceeds of $287,979.96, including Imrie's $96,000 participation, bringing the total offering to 11,955,545 units for aggregate proceeds of $717,332.70. Proceeds will fund semiconductor design, engineering, and product development for the Spectrum Slicing prototype.

As Wi-Fi evolves toward Wi-Fi 7 and beyond, with devices accessing very wide channels in congested spectrum, Edgewater's approach becomes increasingly timely. The company expects to achieve engineering and ecosystem milestones in the coming period, with an initial product release targeted for the first half of 2027.

The investment from SCA marks a strategic alignment with a group that provides not just capital but also industry relationships relevant to silicon execution and future capital formation. This partnership, combined with Edgewater's patented technology and 26 granted patents, positions the company to address high-reliability Wi-Fi and emerging high-performance applications.

"SCA brings capital, operating insight, and industry relationships as we advance Spectrum Slicing and PrismIQ toward prototype validation and partner demonstrations," Skafel added. The company's fabless model aims to transform Wi-Fi economics for service providers, OEMs, and enterprises by enabling multiple concurrent channels in a single band, delivering up to 10x performance improvement and 50% lower latency.

The securities issued are subject to a statutory hold period until January 9, 2027, and the closing remains subject to TSX Venture Exchange acceptance. Imrie's participation is considered a related party transaction under MI 61-101, with exemptions from formal valuation and minority approval requirements.
