In a strategic move to bolster its AI-driven data platform, Datavault AI Inc. (NASDAQ: DVLT) has announced a definitive agreement to acquire CyberCatch Holdings (TSX.V: CYBE) (OTCQB: CYBHF) for $94.5 million in cash, or $3.53 per share, through a court-approved plan of arrangement. The acquisition is set to integrate CyberCatch's patented, AI-enabled continuous cybersecurity compliance and risk mitigation platform into Datavault AI's Quantum Private Network (“QPN”) GPU ecosystem, according to a press release.
The proposed acquisition is expected to be completed subject to customary board, stock exchange, regulatory, and shareholder approvals. Upon closing, CyberCatch will operate as a Datavault AI subsidiary based in San Diego, with its founder, Chairman, and CEO Sai Huda serving as president of the subsidiary. This integration is poised to enhance Datavault AI's existing technology suite, including DataValue®, DataScore®, and Information Data Exchange® (“IDE®”), as well as its Acoustic Sciences technologies, particularly for deployments across regulated industries.
CyberCatch's platform leverages generative and agentic AI to continuously assess cybersecurity controls, conduct penetration testing, and measure cyber risk across a range of regulatory and security frameworks, including NIST CSF 2.0, NIST 800-171, CMMC 2.0, ISO 27001, HIPAA, and PCI DSS.
